Zeluna Terms of Service

Welcome to Zeluna!

These Terms of Service (the “Terms”) describe the conditions attached to your use of our video-focused platform — an online hub where users can seek out popular creator-made videos, stream them, forward them and browse the whole catalogue at no cost — and they create a binding legal relationship between you and Zeluna. The moment you access or use any of our platform Services, you confirm that you have read, accept and agree to be bound by every clause in these Terms. If you do not accept these Terms in their entirety, your only option is to stop using our platform Services immediately.

Important Notice

Note that these Terms incorporate a mandatory arbitration provision, the details of which appear in Section 18. Other than a narrow set of exceptions, for example claims based on intellectual property infringement, every dispute between you and Zeluna will be decided through binding arbitration, and neither party may start or take part in class action litigation.

1. Eligibility Requirements

Minimum Age: You need to be eighteen years old or older to sign up for an account or to use Zeluna’s complete platform Services. Some premium features, if they come out later, could require a higher minimum age, and you will be notified about this the first time you open the feature.
Legal Capacity: When you use Zeluna’s services, you confirm that you have the full legal capacity to enter into a binding agreement, to follow every term in this document, and to comply with all applicable local, national and international laws and regulations.
Entity Use Authorization: If you access Zeluna on behalf of a business or government organization, you confirm that you have complete authority to bind that entity to all of the terms in these Terms.
Minor Access Prohibition: Nobody under the age of eighteen is allowed to register an account or to use Zeluna’s platform Services. We may permanently close accounts that we believe are operated by underage users, and we are not obliged to give notice in advance.

2. User License

Personal Use License: Zeluna gives you a personal, worldwide, royalty-free, non-transferable license to access and use all of our platform Services — including finding trending user-submitted videos, streaming, sharing and browsing content — just for their intended purposes. This license works only while you keep complying with every provision of these Terms.
Automatic Updates: Our platform Services may automatically download and install software updates, like fixes for video playback problems and brand-new features. You can switch off automatic updates in the system settings of your mobile device.
License Restrictions: Copying, modifying, selling, reverse engineering or sublicensing Zeluna’s proprietary software and services is off-limits unless you first get written approval from Zeluna’s management team.

3. Content License to Zeluna

Ownership of Your Content: When you create, upload or share media — including videos, public comments, photos and captions, which are all referred to as “Your Content” — you keep full legal ownership of everything you post. At the same time, you give Zeluna a worldwide, royalty-free, sublicensable license to host, store, display, stream, format adjust (for example, optimizing video resolution for different device screen sizes) and distribute Your Content. This license exists purely to support the operation, maintenance and improvement of our video platform, including making the videos you upload available to other users on the platform.
License for Public Content: For all media you post in the public parts of the platform, like trending video feeds and public comment sections, you give Zeluna a perpetual, worldwide, royalty-free, sublicensable license to publicly broadcast, display, reproduce and create derivative works from that content. For instance, we might feature your uploaded video in a curated “Top Viral Videos” compilation. Under this license, we can also show your full name and profile image next to your published content, and you will not be paid any extra for that.
Content Moderation Rights: Zeluna can review, remove or modify any of Your Content at any time, for example by deleting videos that break these Terms. However, we have no legal duty to actively monitor all user-generated content on the platform. You are the only one responsible for all of Your Content that you post on Zeluna.
Advertising Consent: You agree that Zeluna may run commercial advertisements across all platform Services as part of the deal that lets you access video browsing and content sharing features for free.

4. Your Responsibility for Uploaded Content

Full Liability for Content: You are completely legally responsible for all of Your Content that you publish on Zeluna. You have to make sure that your uploads do not infringe any third-party rights — including copyright in the background music used in your videos and trademark rights — and that they do not break any applicable local or national laws, such as laws against defamation or obscenity.
Prohibited Content: Uploading or sharing content that is unlawful, injurious, discriminatory (on grounds of race, gender, religion or other protected characteristics), graphically violent, sexually explicit, or that fosters harassment, exploitation or criminal activity is not permitted. The prohibition likewise reaches child sexual abuse material (CSAM), hate speech and footage of illegal acts being carried out.
Reporting Violations: You can flag illegal or inappropriate content, such as violent videos, using our built-in reporting tool or by emailing our official service inbox: [email protected]. Once a breach of these Terms is confirmed, our team may take down the violating content and suspend or terminate the accounts responsible.

5. Privacy of Your Data

Looking after your personal privacy is a top concern for our team. Our official Privacy Statement, which you can find inside the Zeluna mobile application, explains in detail how we collect, use and share your personal data in connection with our video platform Services. By using any Zeluna service, you fully agree to all data practices described in that Privacy Statement.

6. Prohibited Conduct

You are not allowed to do any of the following while using Zeluna’s Services:

Bullying, threatening, intimidating or masquerading as another user. This includes leaving abusive comments on other creators’ videos or pretending to be somebody else.
Interfering with the platform’s security safeguards, working around access controls, or relying on automated tools such as bots to harvest video data, push up video view counts artificially or disturb the normal running of the platform.
Distributing malware, spam messages or unlawful material — child sexual abuse material (CSAM) included — through any portion of our platform Services.
Putting Zeluna’s features to commercial use without the prior written consent of our management team. Selling physical goods through video comments and advertising external services are examples of such use.
Breaching third-party intellectual property rights, for instance uploading videos that contain copyrighted music without authorisation or working around the digital rights management (DRM) protections built into the platform.
Taking part in money laundering, fraud or the exploitation of vulnerable people. This extends to every activity connected with child sexual abuse material (CSAM), which we treat under a strict zero-tolerance policy.

Zero-Tolerance Child Safety Policy

Zeluna has a firm zero-tolerance policy for all child sexual abuse material (CSAM) on our platform. Report any suspected prohibited material without delay. Our team will remove all related content, suspend or permanently ban the responsible account, and cooperate fully with law enforcement authorities during any investigation.

7. Copyright Policy

Zeluna fully respects the intellectual property rights of creators and rights holders. If you believe in good faith that any content on Zeluna, such as a user-uploaded video, infringes your copyright, please send a written infringement notice to [email protected] that includes all of the following:

Your signature, whether handwritten or electronic.
A thorough account of the copyrighted work that you maintain has been infringed.
The precise whereabouts of the infringing material, including complete video URLs or directions for locating it inside the app.
Your full contact information, that is to say your name, postal address, telephone number and email address.
A declaration under penalty of perjury that you honestly believe the material is being used without the permission of the copyright owner, its agent, or the law.

Zeluna may permanently terminate the accounts of registered users who are repeatedly confirmed to have infringed copyright.

8. Account Rules

Account Security: You are wholly responsible for safeguarding your account login credentials, which includes keeping your password confidential. Sharing your login details, or reaching your Zeluna account through unapproved third-party software, is prohibited.
Account Usage Rules: You may not register multiple duplicate accounts unless explicitly allowed by official platform guidelines, sell or transfer your account, or reactivate accounts that were disabled for policy violations.
Reporting Unauthorized Access: Should you spot any indication that your account has been accessed without permission, such as unfamiliar videos uploaded without any action on your part, get in touch with our support team right away at [email protected].

9. Content Moderation

Automated and Human Review: Zeluna operates two review systems: automated content detection software aimed at recognising violent or sexually explicit video content, together with trained human moderators who check every piece of published content against our policies. Even so, we cannot promise that every category of prohibited content uploaded by users will be detected with 100% accuracy.
User Reporting: You may report unsuitable content, such as harmful videos and spam comments, through our built-in reporting tool. Our moderation team tries to finish reviewing every reported violation within 24 hours, and once a policy breach is confirmed we may take down the content or suspend the account, either temporarily or permanently.

10. In-App Purchases and Payments

If, at a later stage, Zeluna makes optional premium features or virtual products available — such as ad-free streaming or access to exclusive locked trending content:

Transparent Pricing: Every price is displayed clearly before you finalise any purchase. Payment processing is carried out entirely by authorised third-party payment providers such as the Apple App Store and Google Play Store.
No Refund Policy: Unless applicable consumer protection rules, such as EU consumer regulations, require otherwise, once a purchase is completed it is final and no refund will be issued. Subscriptions renew automatically unless you cancel through your app store account no later than twenty-four hours before the next billing date. Cancelling a subscription does not give you the right to a refund for the unused part of the current subscription period.
EU Consumer Rights: Users located in the European Union may ask for a full refund on subscription purchases within fourteen calendar days of the purchase date. This refund entitlement exists only where you have not accessed or used any premium features during those fourteen days.

11. Mobile Data Charges

All mobile data charges, text messaging fees and other telecommunication expenses that arise while you use Zeluna’s Services — for instance, streaming or uploading videos over a cellular network — are entirely your responsibility. For details about data rates and billing, please get in touch with your mobile service provider.

12. Anti-Slavery and Anti-Human Trafficking Policy

Zeluna prohibits all forms of slavery, human trafficking and exploitation of vulnerable people. Report any suspected violations to our official email address [email protected]. Our management team will carry out a full investigation, remove all violating content, and cooperate fully with relevant law enforcement authorities.

13. Anti-Fraud and Compliance

Scam Prevention: Never transfer money, disclose financial details such as credit card numbers, or get involved in questionable financial dealings with other platform users. Report any confirmed scam — for example, users asking for payment through video comments — to our service inbox at [email protected].
Anti-Money Laundering (AML) Compliance: To satisfy binding anti-money laundering legal obligations, Zeluna may ask you for government-issued identity documents. If you refuse to provide, or fail to provide, the identification requested, your access to your account may be suspended temporarily.

14. Service Changes and Account Termination

Service Modification Rights: Zeluna may, at any time and with or without notice, introduce new features such as in-app video editing tools, withdraw existing features, suspend service temporarily, or wind down all Zeluna services altogether. We will make reasonable efforts to inform registered users about significant changes to core services, such as the permanent removal of the core video-sharing function.
Account Suspension and Termination: For confirmed breaches of these Terms, long periods of account inactivity, or harmful user conduct, our management team may suspend your account temporarily or terminate it permanently, and may revoke all access to our Services, with or without prior written notice. Once your account is terminated, you lose access to all platform features, including your uploaded videos and any premium services you purchased.

15. Indemnification

You will indemnify, defend and hold Zeluna, together with its affiliated companies, directors, employees and authorised third-party agents, harmless against every claim, damage, liability, cost and legal fee (including full attorney fees) that stems from your use of Zeluna’s Services, from any Your Content that you place on the platform (for example, copyright infringement lawsuits arising out of your uploaded videos), or from any verified violation of these Terms.

16. Disclaimers

As-Is Service: Every Zeluna Service is supplied “as is” and “as available”, with no warranties of any kind, whether express or implied. We make no promise of uninterrupted service, fault-free video playback, or complete accuracy and safety of all user-generated content on the platform.
No Liability for User-Generated Content: Zeluna bears no legal responsibility for offensive, unlawful or deceptive content contributed by other users, including harmful videos and false comments. You view and use all user-generated content on the platform entirely at your own risk.

17. Limitation of Liability

Neither Zeluna nor its partner entities will be held liable for indirect, consequential or punitive damages of any description. The total combined liability of Zeluna for all claims shall not exceed the higher of one hundred United States Dollars (USD 100) or the entire amount you paid to Zeluna during the twelve consecutive calendar months before the claim.

18. Binding Arbitration

Dispute Resolution: Most disagreements between you and Zeluna will be settled through binding arbitration rather than through the courts. The arbitration will be run by an arbitration body that both sides agree on, such as USIETAC, following the official procedural rules of that body.
Class Action Waiver: Every dispute is resolved through individual arbitration. Neither consolidated proceedings nor class action lawsuits are allowed under this agreement.
Opt-Out Right: Within thirty calendar days of first using the platform Services, you may decide to opt out of this binding arbitration clause. To opt out, send a written notice to Zeluna’s management team by email at [email protected] or to the physical address shown in the Zeluna mobile app. Your notice has to include your full name, the email address registered on your account and a plain statement that you are opting out of the arbitration clause.

19. Intellectual Property Statement

Every video that a registered user uploads to the Zeluna platform must be an original piece of work produced independently by the person uploading it. The uploading user must own all intellectual property rights in the uploaded content, including, without limitation, copyright, trademark, patent and trade secret rights. Registered users are forbidden from uploading or publishing anything that encroaches on third-party intellectual property rights, including, without limitation, the unauthorised copying, adaptation, editing or clipping of video, audio, text or image files owned by third parties. Where our moderation team confirms that content is infringing, Zeluna may delete the material permanently and may also hold the responsible user fully liable under the law. If Zeluna suffers measurable financial losses as a direct result of the infringing conduct, the responsible user must compensate Zeluna for all of those losses.

20. Governing Law

These Terms are governed exclusively by the civil laws of the State of Delaware, with its conflict of law principles excluded.

21. Severability

Should a court of competent jurisdiction rule that any provision of these Terms is unenforceable, that provision will be cut out of this agreement, while all the remaining provisions keep their full legal force and effect.

22. Supplementary Terms

Some platform features, such as official creator monetization programmes, may come with their own supplementary terms. You will see these supplementary terms the first time you access the feature, and once you accept them they become binding parts of this agreement.

23. General Terms

Entire Agreement: These Terms of Service, together with our Privacy Statement and all supplementary feature terms, form the complete agreement between you and Zeluna and replace any earlier agreements, whether oral or written.
No Third-Party Beneficiaries: No third party, including other Zeluna users, obtains any enforceable rights under this agreement.
Non-Waiver: If Zeluna’s management team decides not to enforce a particular provision of these Terms on a single occasion, that does not mean we give up the right to enforce the same provision later when a confirmed policy violation occurs.
Assignment: You may not assign or transfer your rights under these Terms without first obtaining written approval from Zeluna’s management team. Zeluna, however, may assign and transfer its rights and obligations under this agreement freely, at its own discretion.
English Language Priority: Where any conflict arises between a translated version of these Terms and the original English version, the original English version is the only version that carries legal authority.
